1. About These Terms
These Terms apply to your use of the Hutter Products marketplace at hutterproducts.com, including all AI-assisted design tools and associated services.
By creating an account, uploading User Content, using AI previews, or placing orders, you agree to adhere to these Terms.
These Terms operate in conjunction with our Privacy Policy and Terms of Sale. Should there be any conflict between these documents regarding their subject matter, the latter will take precedence, while mandatory consumer protections will remain unaffected.
2. Definitions
Key defined terms used in these Terms:
- "Account": the personal or business profile registered on the marketplace.
- "Buyer": a user who purchases products through the marketplace.
- "Supplier": a verified production or fulfilment partner offering sustainable products or services.
- "Designer": any user (including Buyers and Suppliers) who uploads, configures, or edits creative assets.
- "User Content": all text, logos, artworks, prompts, 3D models, videos, or feedback you upload or generate.
- "AI Tools": the real-time configurators, generative design features, and preview engines we provide.
- "Platform IP": Hutter Products software, models, interfaces, databases, and trademarks.
- "Sustainable Standards": environmental and ethical requirements communicated by Hutter Products.
- "DSA": the EU Digital Services Act (Regulation (EU) 2022/2065).
- "GDPR": the EU General Data Protection Regulation (Regulation (EU) 2016/679).
3. Eligibility and Accounts
You must be at least 18 years old, or the legal age of majority in your country, to create an Account. Minors may only access the Platform with an Account owned by a parent or guardian who accepts these Terms.
Keep your registration information accurate and up to date. Provide business documentation (such as incorporation or VAT details) when requested.
Protect your credentials. You are accountable for all activity on your Account. Please notify us immediately at security@hutterproducts.com if you suspect any unauthorised access.
We may suspend or deactivate Accounts that are compromised, inactive, fraudulent, or otherwise present a risk to the Platform.
4. Platform Roles and Relationships
Hutter Products runs the marketplace and offers collaboration tools. Unless explicitly stated, we are not the manufacturer of the products sold through the Platform.
The marketplace connects three primary user roles:
- Buyers enter into purchase contracts directly with the Supplier named in the order confirmation.
- Suppliers must comply with Sustainable Standards, provide accurate product data, and ensure timely fulfilment.
- Designers must confirm they hold the necessary rights to any assets they upload or generate.
We may assist with dispute resolution in good faith, but we cannot guarantee any outcome.
5. Platform Access and Acceptable Use
Use the Platform in a lawful, respectful, and transparent manner.
Prohibited conduct includes:
- Uploading or sharing illegal, defamatory, harassing, discriminatory, or misleading material.
- Infringing intellectual property, privacy, or publicity rights.
- Uploading malware, attempting to bypass security, or interfering with site performance.
- Scraping, data mining, or using bots without our prior written consent.
- Misrepresenting identity, impersonating others, or engaging in fraudulent activity.
- Promoting counterfeit, unsafe, or non-sustainable products.
We may remove content, suspend access, or notify the authorities when necessary to protect the Platform or comply with the law.
6. Sustainable Marketplace Standards
Suppliers must provide verifiable certifications or documentation to support eco-claims upon request.
Materials should prioritise organic, recycled, or otherwise sustainable inputs and comply with EU and Swiss consumer protection requirements.
Buyers are encouraged to review the sustainability disclosures prior to placing an order and to raise any concerns via support@hutterproducts.com.
We carry out audits, sampling, and community reporting to maintain our sustainability commitments and may suspend Suppliers who do not meet our standards.
7. AI-Powered Design Tools
AI Tools process prompts, logos, and design iterations to generate previews and production-ready files.
By using AI Tools, you allow us to analyse inputs and outputs to operate, enhance, and secure the services. We do not share your creative assets with third parties for their marketing without your consent.
Avoid entering unnecessary personal data. When processing personal data, ensure you have a lawful basis under the GDPR and provide the required notices.
AI outputs may require human review. You are responsible for ensuring accuracy, compliance, and rights clearance prior to production.
We log AI activity to meet transparency obligations under the DSA and to oversee any misuse.
8. User Content and Intellectual Property
You retain ownership of your User Content. You grant Hutter Products and its Suppliers a worldwide, royalty-free, sublicensable licence to store, reproduce, adapt, manufacture, display, and distribute User Content solely to provide services, fulfil orders, and deliver support.
When collaboration features are enabled, you grant other users a limited licence to view shared User Content.
Suppliers confirm they possess the rights to utilise any assets supplied by Buyers or Designers. Buyers confirm they have the rights to integrate logos or third-party IP into their designs.
We reserve the right to remove or disable access to User Content that appears unlawful or breaches these Terms. Repeated infringement may result in permanent Account closure.
All Platform IP remains exclusively owned by Hutter Products. Do not copy, reverse engineer, or rebrand our software, models, or interfaces.
9. Orders, Production, and Payments
Order pricing, specifications, and delivery timelines are detailed in order confirmations and the Terms of Sale.
Buyers are required to review and approve digital proofs or configuration summaries prior to the commencement of production. Production may commence automatically following the specified approval window.
Payments are processed by secure third-party providers. You authorise us to charge your selected payment method for confirmed orders, taxes, and applicable fees.
Suppliers must adhere to quality standards, provide tracking information, and fulfil return or remediation obligations as outlined in the Terms of Sale.
Report any suspected fraud or unauthorised activity immediately to security@hutterproducts.com so we can take the necessary action.
10. Reviews and Community Highlights
Share fair, constructive reviews based on genuine experiences. Please refrain from posting spam, irrelevant content, or undisclosed incentivised feedback.
We may showcase feedback for marketing purposes, with attribution limited to a first name or business name unless you choose to opt out.
Community areas are moderated in accordance with the DSA. We may remove harmful, misleading, or abusive content and may restrict repeat offenders.
11. Privacy and Data Protection
We handle personal data in accordance with our Privacy Policy, the GDPR, the Swiss Federal Act on Data Protection, and applicable national legislation.
Only upload personal data for which you have a lawful basis and have provided the necessary notices. Account administrators are responsible for the data of their team members.
Exercise your data subject rights by contacting privacy@hutterproducts.com. We respond within the statutory timelines.
We use cookies and analytics to enhance functionality. Please review the Privacy Policy for opt-out options and preferences.
12. Notice-and-Action under the DSA
Report illegal content or policy violations using the in-platform reporting tool or by emailing dsa@hutterproducts.com with enough detail to locate the material.
We assess notices swiftly, remove or restrict access when necessary, and inform affected users unless legally restricted.
Appeal options are provided where required by the DSA or other applicable legislation.
13. Third-Party Services
The Platform integrates third-party payment, logistics, and analytics services. Their terms and privacy notices govern your use of these services.
We do not control the availability or security of third parties, but we will respond to credible reports of risk or misuse that may affect our users.
14. Warranties and Disclaimers
The Platform is provided on an "as is" and "as available" basis. We aim for accuracy and uptime but do not guarantee uninterrupted service or flawless AI outputs. Your mandatory consumer rights remain unaffected.
To the extent permitted by law, we disclaim any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from the course of dealing or usage of trade.
15. Limitation of Liability
Hutter Products is not liable for any indirect, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill arising from the use of the Platform, except where liability cannot be limited under applicable law.
Our total liability for all claims under these Terms is limited to the greater of £500 or the total fees you have paid to us in the twelve months prior to the claim, unless mandatory law stipulates a higher amount.
16. Indemnification
You agree to indemnify and hold harmless Hutter Products, its affiliates, officers, employees, and partners from claims arising out of your breach of these Terms, infringement of third-party rights, or misuse of the Platform.
We will inform you of indemnified claims without unnecessary delay and enable you to take part in the defence in coordination with us.
17. Suspension and Termination
We may suspend or terminate Accounts for serious breaches, fraudulent activity, legal obligations, or actions that jeopardise the integrity of the Platform.
When reasonably possible, we provide prior notice and an opportunity to rectify the situation. Immediate suspension may occur when necessary to prevent harm or to comply with the law.
You can close your Account at any time through the account settings. Any outstanding payment obligations and sections intended to survive termination will remain in effect.
18. Dispute Resolution
Contact support@hutterproducts.com first so we can attempt to resolve any issues informally.
Business users agree to attempt mediation under the rules of the German Institution of Arbitration (DIS). If mediation does not resolve the dispute within 60 days, the matter will proceed to binding arbitration with one arbitrator, seated in Munich, Germany, and conducted in English.
EU and Swiss consumers can access the EU Online Dispute Resolution platform or local alternative dispute resolution bodies. Participation is voluntary unless otherwise required by mandatory law.
Nothing stops you from seeking interim relief or filing claims with the relevant authorities where permitted by law.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules. Mandatory consumer protections applicable in your place of residence still apply.
The exclusive forum for disputes with business users is Munich, Germany. Consumers may bring claims before the courts in their country of residence or in Munich, as permitted by law.
For cross-border transactions involving Austrian suppliers, the parties may mutually agree to Austrian courts as an alternative venue.
20. Changes to These Terms
We may update these Terms to reflect legal developments, new features, or security requirements.
Material updates are communicated a minimum of 14 days in advance via email or dashboard notifications, unless immediate changes are necessitated by legal requirements or security concerns.
Continued use of the Platform after the effective date signifies acceptance of the revised Terms.
21. Severability and Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be in full effect.
The invalid portion will be substituted with a valid clause that most accurately mirrors the original intent of the parties involved.
These Terms, along with the referenced Platform Policies, constitute the complete agreement between you and Hutter Products regarding the use of the Platform.
22. Language
The English version of these Terms takes precedence. Translations are offered for convenience and do not alter the meaning of the English text.
